Terms of Service.

These are the standard terms of service for any design project. Please read them carefully. If anything raises a concern, contact us before the project begins so that any necessary adjustments can be discussed.

1. Payment

​

Deposits, final payments and delivery


FYE Group Pty Ltd ACN 656 749 432 (trading as FYE Design) and its Related Entities (“FYE Design”) reserves the right to request a 50% deposit prior to commencing work. Invoices are issued via email and are payable within 30 days. Payment of a deposit constitutes acceptance of these Terms of Service and forms a binding agreement with FYE Design.

The balance of the project cost is invoiced prior to final delivery of files. FYE Design reserves the right to withhold release of files until full payment is received.

If a client becomes unresponsive for more than 30 days, FYE Design may issue a final invoice before completion of the project.

​

Clients may request a payment plan, which may be granted at FYE Design’s discretion. All payment plans must be confirmed in writing by both parties.

Unpaid invoices beyond 30 days may incur debt recovery costs, which the client agrees to cover.

 

2. Typefaces

​

Licensing of fonts or typefaces


Clients are responsible for obtaining commercial licences for any fonts/typefaces used in final designs. FYE Design will supply font names and sources during concept presentation.

FYE Design cannot legally share copies of fonts it has licensed or purchased. If you wish to use a particular font for editing purposes (e.g. for websites or collateral), you must purchase the appropriate licence.

​

Fonts converted to vector artwork in a logo typically do not require licensing for general use, but editable use will require a desktop licence.

3. Restrictions

Use and rights of concepts and artwork


By agreeing to these terms, you do not have rights to use, adapt or reproduce any unapproved or unused designs, concepts, or sketches presented during the process. These remain the intellectual property of FYE Design and may be reworked or repurposed for future projects.

Unless otherwise agreed, FYE Design reserves the right to display completed work (including logos and collateral) in portfolios, online galleries, printed publications, or award entries.

You are welcome to adapt and change the final delivered logo design as you see fit, but do so at your own risk.

4. Ownership & Copyright

​

All preparatory work, sketches, and electronic files remain the property of FYE Design unless full payment is received.

​

Final artwork becomes the client’s property only upon full payment. Until payment is complete, designs may not be used, and FYE Design retains ownership and usage rights.

In the event of non-payment or breach, FYE Design reserves the right to reuse or amend any design material.

​

Unless agreed otherwise, FYE Design may present the work in its portfolio or professional materials.

​

5. Trademark & Copyright

​

FYE Design does not handle trademark registrations or legal searches for names or logos. Clients are responsible for ensuring the chosen name is legally available for use and registration.

Changing a name mid-project may result in additional charges and timelines.

6. Brand Naming

​

Clients must ensure their business or product name is legally clear before the project begins. FYE Design accepts no responsibility for legal issues that arise from naming conflicts.

​

If a name change occurs after design work has commenced, additional costs may apply for new exploration.

​

7. Cancellation

​

Project cancellation


If a client cancels after work has begun, no refund will be issued for time and effort already spent. A partial refund may be offered depending on project stage and budget.

In the unlikely event FYE Design cannot complete a project due to illness or exceptional circumstances, a fair portion or full refund will be offered, depending on how much work has been completed.

​

8. Project Suspension

​

FYE Design reserves the right to suspend a project if the client engages in excessive micromanagement, lacks trust in the process, or fails to make agreed payments.

​

Notice will be given before any suspension or termination, and attempts will be made to resolve the situation amicably. Work produced prior to suspension remains the property of FYE Design.

​

9. Force Majeure

​

FYE Design will not be liable for failure to perform obligations due to acts of God, war, terrorism, government orders, natural disasters, or other events outside its control. Services will resume as soon as reasonably possible.

​

10. Limitation of Liability

​

FYE Design is not liable for any loss or damage arising from the use or interpretation of its services, content, or materials, including errors or omissions.

​

Clients assume all risk related to the use or modification of any designs. While FYE Design performs reasonable checks for originality, clients must also conduct their own due diligence.
